Sigma Lithium secures US$125M financing to strengthen balance sheet and fund growth plans

Episode Summary

Sigma Lithium CEO Ana Cabral joined Steve Darling from Proactive to announce that the company's convertible bond offering has been upsized by 25% to US$125 million and successfully priced, strengthening its balance sheet and extending debt maturities as it prepares for increased lithium production. The offering, initially launched at US$100 million on November 2, 2026, consists of senior unsecured convertible bonds due 2031 that can be converted into CHESS Depositary Interests listed on the Australian Securities Exchange, representing common shares in Sigma Lithium. The bonds will carry a fixed annual interest rate of 7%, with the conversion premium confirmed at 25% above the November 2 Nasdaq closing share price of US$5.21. This establishes a conversion price of US$6.51 per share. The company said repayment of the existing facility will significantly improve its debt profile by extending the maturity timeline to 2031 and reducing short-term debt by approximately 80%, from a pro forma amount of US$125 million. The new financing will also replace the existing floating interest rate of SOFR plus 6.95% with a fixed 7% coupon, providing greater certainty around borrowing costs and lowering cash interest expenses. Another important benefit is the transition from secured to unsecured debt, which will release corporate security previously tied to the Synergy Capital financing. The earliest repayment date will move to 2029, when investors have a put option, with final maturity in 2031. Sigma Lithium intends to use the net proceeds to repay all outstanding amounts under the Synergy Capital senior secured debt agreement. Any remaining funds will be directed towards growth capital expenditures and general corporate purposes. Cabral also discussed the company's third-quarter 2026 operating performance and its recovery following a temporary suspension of operations by local authorities. Sigma Lithium produced 7,293 tonnes of lithium oxide concentrate during the third quarter. In early October, the company obtained protection of its operating and mining licences through state and federal court decisions, allowing production to resume. Since restarting operations, the company has produced approximately 9,000 tonnes of high-grade concentrate in the fourth quarter through October 30. Sigma Lithium also has an additional 21,000 tonnes of third-quarter inventory available for sale during the current quarter. This includes approximately 15,000 tonnes of low-grade material, expressed in high-grade equivalent tonnes, and 6,000 tonnes of intermediate products. Looking ahead, the company said Plant 1 remains on track to return to its industrial production cadence in 2027. Sigma Lithium expects to produce approximately 240,000 tonnes over the next 12 months and is maintaining its fiscal 2027 production target of 330,000 tonnes from Plant 1. The upsized financing and improving production outlook are central to Sigma Lithium's strategy of refinancing existing obligations, reducing financing costs and supporting its planned expansion as it works to increase output in the growing lithium market. #proactiveinvestors #sigmalithium #nasdaq #sdml #asx #sau #tsxv #sgml Lithium #LithiumMining #BatteryMetals #CriticalMinerals #ConvertibleBonds #DebtRefinancing #MiningFinance #ElectricVehicles #EnergyStorage #BrazilMining #LithiumProduction
